Avis Budget Group and I.D. Systems Sign Exclusive Agreement to Deploy New Generation of Wireless Vehicle Rental Technology


  • I.D. Systems receives $14 million order from Avis Budget Group for broad deployment of its wireless vehicle management systems.

Parsippany and Woodcliff Lake, N.J., August 22, 2011—Avis Budget Group, Inc. (NASDAQ: CAR) and I.D. Systems, Inc. (NASDAQ: IDSY) announced today that they have executed an agreement to deploy I.D. Systems’ proprietary wireless vehicle management systems in Avis Budget’s vehicle rental fleet. The agreement follows an extensive pilot program in which the technology was successfully deployed in both traditional airport locations and corporate campuses.


The first phase of expanded system deployment, which will put I.D. Systems’ technology into more than 25,000 Avis Budget vehicles and facilities in portions of the United States and Canada, is valued at $14 million over five years. The exclusive agreement also provides Avis Budget an option to expand system deployment across its global fleet of vehicles which, if fully exercised, is valued at substantially more.

I.D. Systems’ wireless in-vehicle management system permits two-way data communications between a vehicle and various car rental operating systems. Combined with Avis Budget’s existing technologies, I.D. Systems’ services will enable Avis Budget to rent and check-in vehicles virtually, all with the use of a smartphone. In addition, the system has the potential to drive further productivity by automating the vehicle data collection process and streamlining billing.

In connection with the agreement, Avis Budget purchased 1,000,000 shares of I.D. Systems common stock at a price of $4.60 per share, based on the 20-day average share price as of August 22, 2011. In addition, Avis Budget received warrants to purchase up to 600,000 additional shares of I.D. Systems common stock at a price of $10.00 per share, with 100,000 warrants vesting at contract signing and 500,000 warrants vesting if and when Avis Budget exercises its option to substantially expand system deployment. The agreement also provides Avis Budget with a limited term of exclusivity for the use of I.D. Systems’ technology in the car and truck rental industry, with an extended term granted automatically upon Avis Budget’s exercise of such option.

Ford Europe Expands Deployment of I.D. Systems’ Wireless Vehicle Management System

Systems’ wireless Vehicle Management System (VMS) to industrial truck fleets at two manufacturing plants in the United Kingdom and a third facility in Romania. The system was previously implemented at Ford plants in Spain and Germany, as well as across all Ford manufacturing facilities in North America. I.D. Systems’ German subsidiary, I.D. Systems GmbH, facilitated Ford Europe’s expansion of the system by integrating it into the lease financing for the vehicles on which the system will be installed. I.D. Systems GmbH will manage the expansion project, and I.D. Systems’ United Kingdom subsidiary, didBOX Ltd., will install and support the two new deployments in the U.K. Ford’s acquisition of I.D. Systems’ VMS was also facilitated by a major European lift truck manufacturer, which ordered portions of the system on Ford’s behalf. To optimize the ease and speed of vehicle hardware installation, I.D. Systems will provide a cable harness designed especially for the manufacturer’s lift trucks.

MOL Logistics Selects Descartes for ISF “10+2” Compliance

On November 25, 2008, CBP released its interim final rule on ISF, also known as the “10+2″ rule. This security measure is often referred to as “10+2″ because, for ocean shipments inbound to the United States, the regulation requires the collection of 10 new data elements from importers or their agents and 2 message sets from the ocean carriers. CBP’s goal is to have these data elements submitted 24 hours prior to vessel departure and the two new message sets from ocean carriers within 48 hours of vessel departure, however, CBP has allowed for some flexibility in this timing and submission of the data elements.

Descartes Customers Leading the Way with “10+2” Importer Security Filing Success

ATLANTA, Georgia — March 24, 2009 — Descartes Evolution 2009 User Group Conference Descartes Systems Group, a global on-demand software-as-a-service (SaaS) logistics solutions provider, announced that its more than 200 Importer Security Filing (ISF) “10+2” customers are making the new filing with U.S. Customs & Border Security (CBP) at an accuracy rate close to 99% - significantly higher than the overall rate of approximately 85% recently reported by CBP.


These results were announced by Descartes’ ISF “10+2” working group, a customer subcommittee of Descartes’ Customs Advisory Council. This working group was formed in response to CBP’s new ISF “10+2” rule that requires importers to provide CBP with 10 data elements about ocean shipments inbound to the U.S. at least 24 hours prior to vessel departure, and ocean carriers to provide 2 data messages at least 48 hours prior to vessel departure.


Descartes’ ISF “10+2” customer working group works with Descartes to enrich the Descartes ISF service, offer industry insight into adoption and roll-out, and communicate with government representatives to better understand and normalize compliance requirements for smoother adoption.


The Descartes ISF Service offers importers, customs brokers, carriers, freight forwarders, NVOCCs and shippers a comprehensive solution to help them make the new ISF filing. To accommodate customers’ varying technical capabilities, Descartes offers options that range from a user-friendly Web solution that permits manual entry of data information, to a tightly integrated system-to-system electronic data interchange (EDI) connection. Regardless of the option chosen, Descartes ISF Service submits required data information electronically to CBP and gathers the status of that filing in real-time streamlining the process and ultimately improving productivity and ensuring compliance.

Descartes Acquires Oceanwide Logistics Business

WATERLOO, Ontario – February 5, 2009 - Descartes Systems Group, a global on-demand software-as-a-service (SaaS) logistics solutions provider, has acquired the logistics business of privately-held Oceanwide Inc. in an all-cash transaction.


Oceanwide’s logistics business is focused on a web-based, hosted SaaS model that is ideal for customs brokers and freight forwarders who choose to outsource rather than procure or manage traditional enterprise applications behind their own firewalls. Oceanwide’s logistics business provides:

• Customs filing solutions, including new 10+2 compliant advanced manifest solutions, that enable importers, customs brokers, freight forwarders and carriers to comply with existing and emerging customs regulations;

• Automated customs broker interface (ABI) solutions that enable customs brokers and self-filing importers to collect, audit, and manage critical import information;

• Trade compliance solutions that enable shippers to audit the declarations made with customs authorities; and

• Logistics management software that helps small- and medium-sized freight forwarders manage the international freight forwarding processes, including purchase order management, supply chain inventory management, event management and warehouse management.


The combination of Oceanwide’s logistics business and Descartes’ Global Logistics Network (GLN) creates a powerful service offering for customers and adds an important community of customs brokers to the GLN. Descartes acquired all of Oceanwide’s U.S. operations and certain Canadian assets and liabilities related to the logistics business. To complete the acquisition, net of working capital received, Descartes paid approximately CDN $10.4 million (approximately US $8.4 million) and incurred certain transaction expenses. In addition, Descartes granted an option to purchase 40,000 Descartes common shares with an exercise price of CDN $3.44 to Jonathan Wasserman, former chief operating officer of Oceanwide and now Senior Vice President, Compliance Solutions at Descartes, which option, subject to the terms of the grant agreement, vests in equal annual instalments over a period of five years from the date of the grant and expires seven years from the date of the grant.
